1. Terminology
1.1. "Creative Writing Now" and “The Agency” refer to William Victor, S.L. a Sociedad Limitada established under Spanish law.
1.2. “Client” refers to anyone requesting or using any service of the agency on his or her own behalf and/or on behalf of a third party.
1.3. "Service" includes but is not limited to editing, critiques, training, consulting, or the content and features of this website.
1.4. "Document" refers to any textual or graphical content submitted by the client to the agency.
1.5. The captions used in this agreement are for the purposes of convenience only and shall not be used in interpreting the provisions hereof.
1.6. Reference to any gender in this agreement shall be deemed to refer to any other gender, and the singular shall include the plural and vice versa, wherever the context so requires or permits.
2. Acceptance
2.1. By requesting any service of the agency, the client agrees unconditionally to all terms of this agreement, and acknowledges that he or she has read and understood the terms of this agreement.
3. Offers of Service
3.1. Time periods quoted by the agency are intended as estimates and are not guaranteed.
3.2. All quotations, offers of services, and schedules shall be without obligation unless otherwise agreed in writing.
3.3. In the case that the agency chooses not to perform any offered service, the client’s claims against the agency may not exceed the amount that the client has paid previously to the agency for that specific order.
3.4. The agency has the right to subcontract any service partially or entirely to a third party. By doing so, the agency does not waive any of its rights under this agreement.
4. Responsibility
4.1. The client must be at least 18 years of age and capable of entering into a legal contract.
4.2 The client shall not enter into any agreements and/or place any orders where he or she does not have complete legal power and authority to do so and to assume all responsibilities related to these agreements and/or orders.
4.3 The client represents and warrants that any documents that he or she submits: contain no illegal content and will not be used for any illegal purpose (regardless of the jurisdiction where the content or purpose is illegal), and that the client is not violating any copyright or other ownership or contractual rights with respect any such documents. The client shall indemnify and hold harmless the agency, its officers, owners, employees, agents and other representatives (together, the "agency representatives") for any violation of the client’s representations and warranties under this provision.
4.4 When placing an order behalf of a third party, the client shall be jointly and severally liable for the obligations of the third party, and agrees to release and indemnify the agency representatives against any causes of action or claims of such third party.
4.5 The agency representatives shall not be liable for any consequences resulting from the services provided.
4.6 No claims shall be made against the agency representatives for the deterioration or loss of any document or information belonging to the client.
4.7 All prices quoted are exclusive of VAT.
5. Limitation to Claims
5.1 In the case of any dispute between the parties, the client’s claims against any agency representatives may in no case or circumstances exceed the amount paid by the client to the agency for the specific work to which the dispute directly relates. No claims may be made against any agency representatives for the conduct of any third party, including but not limited to third party contractors of or suppliers to the agency.
6. Modifications
6.1 The agency shall have the right to make reasonable modifications to the terms of this agreement at any time. Such changes shall be posted on the agency’s website or sent to the client electronically.
7. Miscellaneous
7.1 Oral agreements cannot modify or cancel this agreement. Except as otherwise provided herein, any modification or cancellation of this agreement shall not be effective unless agreed to in writing by both parties hereto.
7.2 In case any provision in this agreement shall be held invalid or ineffective, the validity of the remaining provisions shall be unaffected. Instead of the invalid or ineffective provision, the valid and effective provision which most closely resembles the economic intention of this agreement shall apply.
7.3 Notwithstanding anything provided herein, in no event shall any officer, owner, or other agency repesentative have any personal liability hereunder or relative to the subject matter hereof.
7.4 In case of any inconsistencies between the English and Spanish language versions of this agreement, the Spanish language version shall apply.
8. Transferability
8.2 The parties hereto intend that no third parties (not signatories to this agreement) shall have any rights under this agreement.
8.3 This agreement shall be binding upon and inure to the benefit of the parties hereto and their heirs, successors, and permitted assigns. The client shall not assign or sub-contract his or her rights or obligations hereunder to any third party without the written consent of the agency.
9. Applicable Law
9.1 Any dispute between the parties shall be settled by a court of competent jurisdiction of the domicile of the agency unless the agency for any reason elects to fall within the jurisdiction of a court of the domicile of the client.
9.2 Spanish law shall apply to the relationship between the parties hereto and to the construction, application, and enforcement of this agreement.
